The practice

What we do

Marcon & Associés is a transaction practice. Our clients come to us with an objective: an acquisition, a disposal, a reorganization, a family holding structure to build, a European base to open. The legal structure follows the objective. It never leads it.

That order matters, and it is not rhetorical. If the economics of a plan do not hold, no structure will rescue it, and we say so at the first meeting.

Our fields

Single family officesFor families whose assets justify a dedicated structure, and who want a European base that holds up under scrutiny.Mergers and acquisitionsBuy-side and sell-side, from target identification through integration, with valuation and tax assessed alongside the legal structure.Family-owned groupsGroups at the point of succession, reorganization, or international expansion, whose ownership and structure will decide what the next generation inherits.Corporate structuringCreation, restructuring, and transformation of businesses. Shareholders’ agreements, private equity, real estate development, commercial contracts.Regulated financial activitiesLicensing before the CCAF, governance of regulated entities, and the regulatory dimension of a transaction.Arbitration and alternative dispute resolutionAnticipating disputes at the drafting stage, and resolving them outside the courts when they occur.

What we do not do

We do not practice litigation, and we do not represent clients before the courts.

We do not sell compliance procedures. Drafting or updating an internal procedure is not what we do, and we decline it. Where a compliance question bears on a valuation, a governance structure, or an international expansion, it is part of the matter, and we handle it there.

We do not take on a residency application on its own. Relocation specialists do that work well, and there is no value we could add to it. Residency belongs in a matter when it forms part of a wider structuring of assets and activity, and only then.

We do not use a document twice. No template, in any matter.
