What we do

Mergers and acquisitions

We act on both sides of a transaction, for entrepreneurs, ultra-high-net-worth families, investment funds, international groups, and private entities, in Monaco and across the globe.

Richard Marcon is one of the very few licensed practitioners in Monaco who offer end-to-end support in M&A. Being in Monaco does not mean working only on Monegasque matters; some practices here do, and we do not.

We come in earlier than most

The point at which we are most useful is rarely the moment the term sheet arrives. It is the moment the question is still open: whether to buy at all, what to buy, and at what point the price stops making sense.

Richard Marcon takes matters from the identification of targets through negotiation, structuring, financing, due diligence, and post-transaction integration. Strategy for growth by acquisition is part of the mandate, not a preliminary step someone else handles.

Structure, valuation, and tax, assessed together

Every transaction is assessed for its legal structure and for its valuation, its financial implications, and its tax consequences, by the same partners on the same matter. A structure that is legally elegant and financially indefensible is a bad structure, and the reverse is equally true.

Compliance shows up in the price

When a company is sold and its compliance position is weak, the price reflects it. Governance, control, and the quality of financial information are valuation matters long before they become regulatory ones. We handle that dimension inside the transaction, with the board and the owners. We do not sell compliance procedures, and we do not write them.

Structuring is where the value is

A European group in the luxury sector came to us with a joint venture project. It was too expensive, too complex, too slow, and its outcome was uncertain. We found a far simpler structure that achieved the same objective.

That is the actual deliverable: not the document, the design. Local counsel can complete the formalities. What it cannot do is conceive the better structure, because that requires knowing both the framework and the people who apply it.

Financing

We work with major international banks, investment funds, and private investors to put together the financing of an acquisition, including on transactions where the structure is the difficult part.
