We assist our clients in creating, restructuring, and transforming their businesses, whether they are growing, diversifying, or reorganizing.
The work covers whatever strengthens a position: debt restructuring, acquisition or disposal of assets, a change of business model, a review of supplier and creditor arrangements, and the group reorganization that usually follows.
Structuring and governance
Shareholders’ agreements, share purchase agreements, group restructuring, and the governance arrangements that make them work in practice rather than only on paper.
We deliberately act beyond the traditional drafting role. A clause that is technically correct and commercially unworkable has not solved anything.
Private equity
The firm has worked on private equity transactions for more than fifteen years, at every stage of a fund’s life: formation, administration, investment, and portfolio monitoring.
Richard Marcon has a longstanding relationship with the private equity industry in Monaco and internationally, which in this field is worth as much as the technical work: knowing who is active, on what, and with whom.
Real estate development and construction
We work on the contractual structuring of real estate development and construction projects, and act for individual and family investors, including through their family office structures, as well as for property companies, funds, and developers.
Commercial contracts and luxury assets
Contractual arrangements, commercial leases, transactions on luxury assets, distribution and services agreements, and the amicable settlement of the disputes they occasionally produce.
Personal investment vehicles
A family or a company wishing to hold and manage its own assets may do so through a Société Civile Particulière (SCP), an unregulated vehicle that may hold and invest real estate, vessels, and securities for its own account, and for its own account only. It may not conduct any activity or investment on behalf of third parties. Crossing that line turns it into a regulated activity.
